VOTING BOOTH

This ballot is for the exclusive use of current members of the National Command Council and may not be shared or distributed outside the Council. Each member must complete the ballot in full and sign the signature page to validate their vote. A quorum, defined as a simple majority of all current members, must be established before any votes will be counted. If a quorum is not reached, the vote will be declared invalid and a new voting date will be set within fourteen days. Members who fail to participate in two consecutive voting sessions without good cause may have their standing on the Council reviewed. If a quorum is present, votes will be counted and certified, with the candidate receiving the majority declared the winner. In the event of a tie, a runoff vote will be conducted within seven days. All voting notices and reminders will be sent through official Council channels, and it is each member’s responsibility to ensure their contact information is accurate and current. You have 24 hours to vote in this election.

MOTION 2

Vote to Remove Non-Participatory Board Members

It is within the best interests of the corporation to have a fully interactive and responsive board. Members may be removed from the board with a 2/3 vote with or without cause. Pursuant to Section 5.7 of the CVA Bylaws, any member of the National Command Council who repeatedly fails to fulfill their fiduciary duties, including the duty of care through active participation in votes, attendance at Council meetings, and reasonable efforts to advance the mission of Combat Veterans of America, may be considered in dereliction of duty and/or loss of confidence.

Accordingly, the Council shall move to remove from office any member who (1) accrues more than three unexcused absences from Council meetings, (2) fails to regularly exercise voting power on Council motions without cause, or (3) neglects reasonable efforts to support the mission of CVA.

Currently, the following have failed to meet their fiduciary duties as a Board Member for Combat Veterans of America:

Voting on this matter begins the process for removal. The member will receive a letter stating the disposition of this vote and must respond within seven (7) business days stating why they should retain their seat on the Board of Directors for Combat Veterans of America. The board will reconvene within seven (7) business days to vote as to whether the response warrants the member retaining their seat or vacating it. The affected member shall be provided written notice, an opportunity to respond, and a final impartial vote under Section 5.7. Vacancies created by such removal shall be filled pursuant to the procedures set forth in Section 5.7.
